Terms of Service

Effective / last updated: September 28, 2026

These Terms govern access to and use of products and services offered under the RigQuoteAI name, including the website, hosted software, downloadable software, accounts, subscriptions and related features described below (collectively, the “Service”). References to “RigQuoteAI,” “we,” “us” and “our” identify the operator of the RigQuoteAI Service. These Terms do not make a separately engaged rigging company or other independent supplier the operator of the Service.

By affirmatively accepting these Terms or placing an order that incorporates them, you agree to them. Any application of these Terms to other use of the Service is subject to legally sufficient notice and applicable law. You must be at least 18 and have authority to enter into an agreement; when acting for a business, you represent that you are authorized to bind it. The Privacy Policy explains information handling, the IP Notice explains proprietary rights, and the Rigging Liability & Insurance notice explains the platform’s role in physical work.

1. Products and features covered

These Terms apply to the following RigQuoteAI product families, whether a feature is accessed through the website, a desktop application, an account dashboard or an authorized integration:

  • Quote Copilot and estimating: quote requests, RFQ analysis, resource planning, pricing recommendations, spreadsheet/CSV/PDF and photo intake, equipment and site information, assumptions and exclusions, proposal drafting, customer estimate exports, historical pricing, comparable-job evidence, benchmarks and completed-job learning.
  • Desktop Copilot / Desktop Quote Copilot: the Windows application, installers, licensed installations, device activation, account connections, cloud-backed records, supported file imports and exports, and software updates.
  • Industrial Leads, Industrial Opportunity Intelligence and Opportunity Radar: industrial-event research, opportunity scoring, project and service-fit analysis, contact research, saved leads, watchlists, territory preferences, pipelines, notes, assignments, follow-up tasks, outreach drafts and related Copilot tools.
  • Facility Intelligence: company or plant lookup, facility dossiers, business-address and contact research, machinery/process clues, source references, project signals, sales talking points and related research reports.
  • Prospect Intelligence, Prospect Search and Facility Prospect Search: industrial prospecting by company, location, radius, industry, machinery/process keywords and available contact or signal filters; list/map views; saved searches; and conversion of research into lead and quoting workflows.
  • Auction, customer and provider workflows: industrial-auction discovery and listings, machinery and removal information, buyer/dealer/business tools, Find a Rigger, provider applications and COI workflows, bid and matching tools, proposals, acceptance/e-signature features where offered, work orders, job updates and closeout records.
  • Plans and supporting services: Rigger Pro, Auctioneer Pro, Desktop Copilot plans, guest previews, free accounts, trials, complimentary access, partner/referral and earnings tools, reports, data products, notifications, support, and APIs or integrations made available under an applicable plan or separate agreement.

This list describes the scope of the Terms, not a promise that every feature is available to every account, in every location, or within every subscription. The product description, checkout disclosures and any agreed order identify what you purchased. Unreleased or separately priced features are not included merely because their product family appears here.

2. Updates, future products and additional terms

The Service also includes new versions, renamed or successor features, add-ons, integrations and other products subsequently offered under the RigQuoteAI brand that reference these Terms, unless separate terms expressly govern them. This does not automatically cover an unrelated business or separately branded product, charge you for an addition, or grant access beyond your plan.

Product-specific terms presented and accepted with an order apply to that product. A separately signed agreement controls over conflicting general Terms for its stated subject matter; otherwise, accepted product-specific terms control over general terms only for that product. Mandatory legal rights remain unaffected. Material changes, new recurring charges and materially different uses of personal information require the notice or consent applicable law requires; this future-product provision is not blanket consent to them.

3. Accounts, guest access and usage limits

Provide accurate information, protect credentials and use only accounts, devices and business records you are authorized to access. Organization administrators may control access to shared organization records. You must promptly report suspected unauthorized access and may not share or resell credentials, impersonate another business, or claim ownership of a provider account without authority.

Guest previews, free accounts, trials and complimentary access have the eligibility, feature, search, analysis, device and rate limits disclosed in the interface or plan. A guest search allowance is not an unlimited license or a promise of paid access after account creation. Do not evade limits through repeated trial registrations, identity changes, automated requests or other circumvention. Ordinary browser privacy controls remain available, but using them to systematically defeat access restrictions is prohibited.

4. Subscriptions, trials, renewals and cancellation

Before you purchase or authorize a trial that converts to a paid subscription, review the price, currency, billing interval, included usage, trial length, device/seat limits, taxes, renewal terms and cancellation instructions shown at checkout. Different products can have different trial periods and separate subscriptions. A free website account, Rigger/Auctioneer plan or complimentary grant does not automatically include a separate Desktop Copilot subscription unless your offer expressly includes it.

When you authorize recurring billing, the subscription renews at the disclosed interval until canceled. A card-required trial converts to the disclosed paid plan when the trial ends unless you cancel in time. Trials may be limited to eligible first-time subscribers; reinstalling software, reactivating or repurchasing does not automatically create a new trial. No charge for a new paid add-on is authorized solely by this policy.

Use the applicable account billing controls: website plan billing is managed through the account billing area, and Desktop Copilot billing through the Desktop account area. Contact support if the relevant control is unavailable. Cancellation generally prevents the next renewal and access continues until the end of the paid period or trial shown in your account, unless a different result is disclosed or required by law. Uninstalling the app, signing out, deleting local files or opting out of marketing does not by itself cancel a subscription.

Refunds, credits, statutory withdrawal rights and any disclosed product-specific guarantee are governed by the applicable offer and law. Cancellation does not automatically establish a refund entitlement for an elapsed billing period, but nothing here limits a mandatory refund or remedy. Contact support about duplicate charges, billing errors or refund requests. Pricing or material plan changes for an existing subscription will be communicated before they apply as required by law; prepaid periods and separate written commitments remain subject to their agreed terms.

5. Mobile and desktop software licenses and connected features

Subject to these Terms and your plan, RigQuoteAI grants you a limited, non-exclusive, non-transferable license to install and use its mobile and desktop software on authorized devices for your own lawful business purposes. Mobile access does not create a separate subscription unless an offer expressly says otherwise, and access to paid connected features depends on the applicable account entitlement. The software is licensed, not sold. No source-code ownership, perpetual cloud-service entitlement, resale right or right to provide the software as a service to others is granted.

Cloud-backed features require a compatible supported system, internet access, account authentication and applicable entitlements. The mobile app may allow encrypted local field captures while offline, but synchronization, research, pricing and other connected services require network access. Camera, photo-library and native share features operate only when you choose them and grant any device permission the operating system requires. Installing the app does not make its connected research, analysis or records entirely local or offline. Activation and use may communicate device identifiers, app/version information, entitlement and usage information, and selected content to RigQuoteAI as described in the Privacy Policy.

Keep appropriate backups and review supported formats and system requirements before relying on imports or exports. Updates may be offered or required for compatibility, security or continued access to connected features; this does not promise automatic updating, indefinite support for an old version, or uninterrupted service. Uninstalling software does not delete cloud records. When your entitlement ends, stop using restricted licensed features; access to cloud features may end, while your rights in your own underlying content remain yours.

Do not redistribute installers for commercial resale, rent or sublicense access, remove proprietary notices, defeat licensing or activation, decompile or reverse engineer protected software, except to the extent applicable law or an applicable open-source license expressly permits despite this restriction. Separately identified open-source components remain governed by their own licenses.

6. AI outputs, estimates and independent review

RigQuoteAI provides software, research, analytics and decision support. Generated estimates, equipment classifications, crew/equipment recommendations, resource plans, pricing evidence, opportunity scores, facility dossiers, outreach drafts, proposal language and other outputs may be incomplete, outdated, inaccurate or unsuitable for a particular job. They require independent human review before commercial or operational use.

Estimates and benchmarks are not binding bids, appraisals, guarantees of actual cost, engineering opinions, lift plans, safety plans, transportation permits or promises of available work. Equipment weight, center of gravity, pick points, rigging hardware, equipment capacities, structural capacity, access, utilities, permits, freight, labor and site conditions must be verified by qualified personnel. Do not direct physical machinery work solely from an AI output, photograph or database entry.

You remain responsible for final prices, scope, exclusions, communications, contracts, submissions and jobsite decisions. You may use and share the customer-facing estimates, proposals and other exports made available for your ordinary business workflow, subject to confidentiality and third-party rights. This permission does not authorize redistribution of the underlying proprietary dataset or creation of a competing platform. Benchmark users must set prices independently and must not coordinate bids, prices, territories or customers with competitors.

7. Facility, prospect, lead and auction information

Research may draw on public or third-party sources, including company websites, business directories, government notices, WARN notices, economic-development releases, auction listings and project announcements. A facility record, map pin, radius result, machinery clue, decision-maker role, email-required filter, confidence label or source reference is not a guarantee of accuracy, completeness, deliverability, current employment, equipment ownership, project status or authority to purchase.

A signal, score, estimated project value, service-fit classification or timing window does not mean a business has approved a project, has a stated budget, wants outreach, or will hire you. Published opportunities and contacts are not exclusive unless an accepted written offer expressly says otherwise. Verify material facts, location and distances, auction dates and terms, removal deadlines, site access and contact details with original sources or the relevant business before acting. Missing or unavailable information may remain unavailable even on a paid plan.

8. Outreach, communications and acceptable use

Contact information and a drafted email or call script do not establish the recipient’s consent or give permission to disregard marketing, privacy, telecommunications or do-not-contact requirements. Review messages and recipient selection before sending or enabling any available automation. You are responsible for the lawful basis, required consent, accurate sender identity, truthful content, required disclosures and mailing information, unsubscribe mechanisms, suppression lists, calling/texting restrictions and provider rules applicable to your communications.

Do not send unlawful spam, deceptive or harassing communications; impersonate another person; ignore opt-outs; use unlawful robocalling or bulk messaging; or use contact data for stalking, unlawful discrimination or sensitive personal profiling. These business-research tools are not a consumer-reporting service and may not be used to determine eligibility for employment, credit, insurance, housing or other purposes governed by consumer-reporting law.

You may not introduce malware, attempt unauthorized access, expose confidential information without authority, interfere with the Service, or use the Service in violation of law or another person’s rights. RigQuoteAI does not guarantee replies, meetings, sales, revenue, inbox placement or immunity from third-party account restrictions.

9. Independent providers, contracts and physical work

RigQuoteAI does not itself perform, supervise, control or direct physical rigging, machinery removal, loading, transportation, installation or other jobsite work. Independent providers are responsible for their personnel, equipment, methods, safety practices, operations and services under their applicable customer agreements and law. Using the same software, a provider profile or a referral does not make a provider an employee or agent of RigQuoteAI.

Providers represented as insured through the platform are required to maintain a current Certificate of Insurance (COI) on file under the applicable provider standards. A COI is evidence of stated insurance information, not a warranty of coverage, an insurance policy or an endorsement. Customers must verify project-specific limits, exclusions and any required endorsements with the provider or insurer before work begins.

Quote intake, matching, scheduling tools, an acceptance/e-signature workflow or a work-order record do not by themselves make RigQuoteAI a party to the physical-work contract or guarantee performance or payment. Review the identified contracting parties and the final agreement before signing. To the maximum extent permitted by law, RigQuoteAI is not responsible for machinery damage, property damage, bodily injury or other loss caused by an independent provider’s physical services. Responsibility remains governed by the facts, applicable contract, insurance and law, including liability that cannot legally be excluded.

10. Your content, confidential information and learning

You retain ownership of content you submit, including customer records, RFQs, spreadsheets, photographs, machinery/site information, emails, quotes, proposals, job outcomes and other files, subject to third-party rights. Submit only information you are authorized to provide, and remove unnecessary sensitive personal information, credentials and material subject to restrictions that prohibit the requested processing.

You grant RigQuoteAI a non-exclusive, worldwide license to host, copy, process, transform, analyze and display submitted content as reasonably necessary to provide, secure, maintain and improve the Service, subject to the Privacy Policy, applicable law and any separate written agreement. This includes using relevant content in requested AI-assisted features and authorized account/provider workflows. It does not make confidential customer files public or transfer ownership of the underlying content.

Where lawfully permitted and not restricted by an agreement, RigQuoteAI may create and use de-identified, aggregated, statistical and derived information that does not reasonably identify the submitting user, customer or confidential source. Permitted uses include estimating, resource planning, quality controls, benchmarks, opportunity intelligence and product improvement. Calling information “derived” does not remove privacy or confidentiality duties where it remains identifiable. This provision is not retroactive permission to use previously collected personal information for a materially different purpose without any required notice or consent.

11. RigQuoteAI rights and restricted extraction

RigQuoteAI and its licensors retain rights, to the extent protectable by law, in original software, source code, desktop packaging, interfaces, documentation, site content, compilations, database organization, normalized structures, workflows, pricing/resource methodologies, scoring and classification systems, prompts, model configurations, evaluations, guardrails, enrichment, derived analytics, branding and other proprietary materials, excluding your content and third-party materials.

Without written permission, you may not scrape, harvest, systematically extract or bulk-download non-public or subscription content; create a substitute or shadow database; probe outputs to reconstruct confidential pricing, scoring, thresholds, weights, prompts, taxonomies or model behavior; use prompt injection to obtain confidential instructions or data; bypass authentication, licensing, subscriptions, usage limits or security controls; resell proprietary data or feeds; or use protected RigQuoteAI records or outputs to train, build or materially improve a competing estimating, benchmarking, prospecting, lead-generation, marketplace or industrial-services platform.

Authorized exports, ordinary customer-facing business use and expressly permitted API use remain allowed within their limits. These restrictions do not claim ownership of public facts, prohibit independent development without misuse of protected material, override rights that cannot be restricted by law, or override applicable open-source licenses. Permission to index public marketing pages does not permit extraction of protected application data.

12. Integrations, APIs, referrals and feedback

Third-party hosting, AI, payment, email, mapping, research and other services may support the Service. When you connect an account or enable an integration, you must have authority for the connection and the actions you authorize. Third-party services are subject to their own terms, availability, access limits and data practices. A reference to another vendor or comparable software does not imply an affiliation, endorsement or license to that vendor’s proprietary database. API and data-feed access requires the applicable authorization and does not permit credential sharing, unrestricted redistribution or access beyond your entitlement.

Partner and referral eligibility, attribution, eligible revenue, clearing periods, adjustments and payouts are governed by the applicable program terms or accepted written offer. Dashboard amounts may be estimates or pending amounts rather than earned or immediately payable funds. Participation does not create an employment, agency, equity or legal partnership relationship, and does not guarantee earnings.

You permit RigQuoteAI to use voluntarily provided feedback, corrections and feature suggestions without compensation, without transferring ownership of your separate confidential materials.

13. Availability, suspension and termination

Features may change as sources, technology, law or security needs change, subject to your paid commitments and mandatory rights. Separately identified preview or pre-release features may have additional limitations; this does not label the generally released Service as a beta product. RigQuoteAI does not promise indefinite support for every third-party integration or software version.

Access may be restricted or terminated for material violations, fraud, security threats, unlawful activity, nonpayment, unauthorized extraction or conduct that threatens the Service or others. Where reasonably practicable and appropriate, we may give notice and an opportunity to resolve the issue. Security or legal risks may require immediate action. Contact support concerning account closure or available exports. Termination does not transfer your content ownership, erase lawfully retained records, waive mandatory refunds, or cancel separate obligations already incurred.

14. Disclaimers and liability limits

To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis, without implied warranties of merchantability, fitness for a particular purpose or non-infringement. No assurance is given that every output, lead, contact, import, estimate or integration will be accurate, uninterrupted, secure or suitable for your intended use.

To the maximum extent permitted by law, RigQuoteAI is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, lost profits, lost opportunities, lost data or business interruption arising from use of the Service. Nothing in these Terms excludes or limits liability, warranties, remedies or consumer rights that cannot lawfully be excluded or limited, including responsibility for RigQuoteAI’s own conduct where the law does not permit exclusion.

15. Changes, notices and surviving rights

We may revise these Terms as the Service evolves. The date above identifies this version. Material changes will receive any additional notice, advance notice or affirmative acceptance required by applicable law; posting an updated date alone is not a substitute for required consent. New charges and materially different personal-information uses are governed by the protections described above. Contact support for a prior version.

A failure to enforce a provision does not waive it. If a provision is unenforceable, the remainder continues to the extent legally permitted. Provisions concerning accrued payment obligations, content rights, confidentiality, proprietary rights, restricted extraction and lawful liability limitations survive termination as appropriate. Questions, complaints and billing or permission requests may be directed to the support contact below.
